Terms & Conditions

This Terms of Business document outlines the contractual relationship between Carextra Staffing and its clients, ensuring transparency and compliance with UK employment laws and industry regulations.

1. Introduction

Carextra Staffing is a healthcare staffing agency providing temporary, contract, and permanent recruitment solutions for the healthcare sector across the UK. These Terms of Business govern the supply of healthcare professionals to clients, ensuring compliance with relevant UK employment laws, including the Employment Agencies Act 1973, the Conduct of Employment Agencies and Employment Businesses Regulations 2003, and the General Data Protection Regulation (GDPR).

 

2. Definitions

In this agreement, the following terms apply:

‘The Agency’ refers to Carextra Staffing.

‘The Client’ refers to any organisation that engages with Carextra Staffing for staffing services.

‘Candidate’ or ‘Worker’ refers to any healthcare professional supplied by Carextra Staffing.

‘Assignment’ refers to the period during which a Worker is supplied to the Client.

‘Engagement’ refers to the employment, hire, or use of a Worker by the Client.

 

3. Supply of Workers

Carextra Staffing will supply healthcare professionals to Clients based on their staffing needs. All Workers will be pre-screened, vetted, and compliant with industry regulations before deployment.

 

4. Compliance & Regulatory Requirements

Carextra Staffing ensures that all supplied Workers meet compliance standards, including:

Right to Work Verification – Workers will provide proof of their legal right to work in the UK.

DBS Checks – Workers undergo enhanced Disclosure and Barring Service (DBS) checks as required by law.

Mandatory Training – All Workers complete statutory and mandatory healthcare training.

Professional Registration – Where applicable, Workers must be registered with regulatory bodies such as the NMC (Nursing and Midwifery Council) or the HCPC (Health and Care Professions Council).

 

5. Client Responsibilities

  • The Client agrees to:

  • Provide a safe working environment for all Workers.

  • Supervise and manage Workers during Assignments.

  • Notify Carextra Staffing of any performance or disciplinary issues.

  • Ensure Workers do not exceed legal working hours as per the Working Time Regulations 1998.

  • Comply with relevant health and safety legislation and duty of care obligations.

 

6. Fees & Charges

Carextra Staffing will invoice the Client for staffing services based on agreed rates. Fees include:

Hourly/Daily Rates – Charged per Worker as agreed in the service contract.

Overtime & Weekend Rates – Additional charges may apply for overtime, night shifts, and weekend work.

Cancellation Fees – If a booked shift is cancelled within less than 6 hours, a cancellation fee may apply.

Permanent Placement Fees – If the Client hires a Worker directly, a recruitment fee will be charged.

 

7. Payment Terms

Invoices must be paid within 14 days of issuance.

Late payments may incur interest at 20% per month.

Payments should be made via Bank Transfer/Direct Debit to the account details provided on the invoice.

Failure to settle invoices may result in legal action or suspension of services.

 

8. Confidentiality & Data Protection

Both parties agree to maintain confidentiality regarding all business dealings and personal data.

Carextra Staffing will process personal data in compliance with UK GDPR & the Data Protection Act 2018.

Client and Worker data will not be shared with third parties without consent, except where required by law.

 

9. Liability & Indemnity

Carextra Staffing is responsible for ensuring that all Workers meet compliance and regulatory requirements.

The Client accepts full responsibility for the supervision and actions of Workers during Assignments.

Carextra Staffing will not be liable for any indirect, special, or consequential damages arising from Assignments.

The Client agrees to indemnify Carextra Staffing against any claims arising due to Client negligence or non-compliance.

 

10. Termination of Agreement

This agreement may be terminated by either party with 28 days written notice. Immediate termination may occur in cases of:

  • Breach of contract.

  • Failure to meet payment obligations.

  • Legal or regulatory non-compliance.

 

11. Dispute Resolution

In the event of a dispute, both parties agree to attempt mediation before pursuing legal action. If unresolved, disputes will be subject to the jurisdiction of the courts of England and Wales.

 

12. Governing Law

These Terms of Business are governed by and interpreted in accordance with the laws of England and Wales.
